REVEAL AI TERMS OF SERVICE

By accessing or using the services provided by Reveal AI, LLC (“Reveal AI,” “we,” “us,” or “our”), including our website (www.RevealAI.com) and the services described below (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”), all applicable laws and regulations, and any additional policies referenced herein. If you do not agree to these Terms, you are prohibited from using the Services.

1. ACCEPTANCE OF TERMS

By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a binding contract between you and Reveal AI.

2. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Any changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Services after changes are posted constitutes your acceptance of the new Terms.

3. DESCRIPTION OF SERVICES

Reveal AI provides a B2B sales intelligence platform that offers access to business contact information, company data, and related services. Our Services include, but are not limited to:

Data Acquisition Services: Access to and use of business contact information, including email addresses, mobile phone numbers, company data, and other related information.
Targeted Outreach Services: Execution of targeted outreach campaigns to engage up to 15,000 professionals per month via our proprietary infrastructure. These campaigns include prospect messaging, response aggregation, and optional add-on features (such as click-through analytics and calendar integration) as further described below.

4. TARGETED OUTREACH SERVICES

The following provisions apply specifically to our Targeted Outreach Services:

4.1 Scope of Services.

Reveal AI will execute targeted outreach campaigns (“Campaigns”) on behalf of the Client. These Campaigns include:

Engaging up to 15,000ofessionals per month using our proprietary outreach infrastructure.
Response Management: Aggregating prospect responses into a shared tracking system for Client follow-up.

4.2 Service Methodology.

Campaigns will be executed through Reveal AI’s owned accounts and tools.
We use platform-native communication features; however, performance may be impacted by third-party platform limitations, changes, or restrictions. In such cases, we will notify you and adjust tactics as reasonably necessary.
We use commercially reasonable efforts to maintain service continuity and optimize campaign performance.

4.3 Client Responsibilities.

You agree to:

Provide targeting criteria (e.g., industries, job titles, company size) within five (5) business days of payment confirmation.
Submit messaging content for our compliance review within five (5) business days of payment confirmation.
Monitor prospect responses and manage leads for conversion.

Failure to meet these deadlines may result in campaign delays, for which Reveal AI is not liable.

4.4 Payment & Activation.

Fees: The fee for Targeted Outreach Services is $1,500 per month (covering the engagement of up to 15,000 professionals). Fees for any optional add-ons will be invoiced separately as agreed.
Payment Process: Payments are made via Stripe. Services commence only after payment confirmation and our written approval of the final targeting criteria and messaging content.
Non-refundable Payment: All fees for Targeted Outreach Services are non-refundable and are deemed final upon payment confirmation.

4.5 Compliance & Approval.

All messaging content is subject to our review for compliance with applicable third-party platform policies.
If non-compliant content is identified, you must provide updated content within two (2) working days of notification. Failure to do so may result in immediate suspension or termination of the Campaign.

4.6 Critical Disclaimers.

Reveal AI shall not be liable for impacts resulting from:

Restrictions or suspensions imposed by third-party platforms.
Changes in platform functionality or policies.
Automated enforcement actions affecting campaign delivery.

Campaign performance metrics (e.g., response rates, appointments) are provided as estimates only and do not guarantee future results.

4.7 Indemnification (Targeted Outreach Services).

You agree to indemnify and hold harmless Reveal AI, its affiliates, officers, and employees from any claims, damages, or expenses (including attorneys’ fees) arising from:

The messaging content you approve.
Prospect complaints regarding outreach frequency or relevance.
Any enforcement actions taken by third-party platforms based on your provided content.

4.8 Confidentiality.

All targeting criteria, messaging content, and performance data used in Campaigns shall remain confidential.

4.9 Termination (Targeted Outreach Services).

Either party may terminate Targeted Outreach Services upon five (5) business days’ written notice.
We may immediately terminate services if third-party platform changes render the services unviable or if you fail to update non-compliant content within two (2) working days of notification.
In the event of termination due to circumstances beyond our control, any prepaid fees for unused service days will be prorated and refunded; otherwise, fees are non-refundable.

5. USER REGISTRATION & ACCOUNT SECURITY

5.1 Registration.

To access certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary.

5.2 Account Security.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You may create only one account.

6. LICENSE & USE OF SERVICES

6.1 License.

Reveal AI grants you a non-exclusive, non-transferable, worldwide license to access and use the Services solely for your internal business purposes, subject to these Terms.

6.2 Restrictions.

You shall not:

Sell, license, sublicense, distribute, or otherwise make the Services available to any unauthorized third party;
Use the Services to create a competing product or service;
Reverse engineer, decompile, or disassemble the Services;
Modify or create derivative works based on the Services;
Use automated means to access the Services without our express written permission;
Use the Services for any unlawful purpose or in violation of any third-party rights;
Reproduce, duplicate, or copy any data made available through the Services.

6.3 API Usage.

Any use of our API is subject to these Terms. Excessive or abusive API requests may result in suspension or termination of API access. We reserve the right to modify or discontinue API access at any time.

7. PAYMENT TERMS

7.1 Fees & Billing.

You agree to pay all fees for the Services you select. Billing for recurring services (including Targeted Outreach and Data Acquisition) will occur in advance according to your selected billing cycle. All fees are non-refundable except as required by law or as expressly provided herein.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Ownership.

Reveal AI owns all rights, title, and interest in and to the Services and all related intellectual property.

8.2 Trademarks.

The Reveal AI name, logo, and related marks are trademarks of Reveal AI or its affiliates and may not be used without our prior written permission.

9. USER CONTENT

9.1 Ownership.

You retain ownership of any content you submit (“User Content”).

9.2 License.

By submitting User Content, you grant Reveal AI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with providing the Services.

10. DATA USAGE & PRIVACY

10.1 Data Collection.

We collect and use data as described in our Privacy Policy, which is incorporated herein by reference.

10.2 User-Provided Information.

You are solely responsible for the accuracy and legality of any data you provide.

11. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. REVEAL AI DISCLAIMS ANY WARRANTIES ARISING OUT OF THE USE OF THE SERVICES.

12. LIMITATION OF LIABILITY

IN NO EVENT SHALL REVEAL AI’S TOTAL LIABILITY ARISING UNDER OR IN CONNECTION WITH THESE TERMS OR THE SERVICES EXCEED THE FEES PAID BY YOU IN THE PRECEDING THREE (3) MONTHS. UNDER NO CIRCUMSTANCES SHALL REVEAL AI BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Reveal AI, its affiliates, officers, and employees from any claims, damages, or expenses (including attorneys’ fees) arising from:

Your use of the Services;
Your breach of these Terms;
Your violation of any rights of a third party; or
Your conduct in connection with the Services.

14. TERMINATION

14.1 Termination by You.

You may terminate your account at any time by following the instructions provided on the Services.

14.2 Termination by Reveal AI.

We may suspend or terminate your account and access to the Services immediately, without prior notice, if you breach these Terms or for any other reason deemed necessary.

15. GOVERNING LAW & DISPUTE RESOLUTION

15.1 Governing Law.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, USA.

15.2 Arbitration.

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in St. Petersburg, Florida, in accordance with the AAA Commercial Arbitration Rules. The arbitrator’s decision shall be final and binding.

16. MISCELLANEOUS

16.1 Entire Agreement.

These Terms constitute the entire agreement between you and Reveal AI regarding the Services and supersede all prior agreements.

16.2 Amendments.

Any amendment or modification of these Terms must be in writing and signed by both parties.

16.3 Force Majeure.

Reveal AI will not be liable for any delay or failure in performance due to causes beyond its reasonable control.

16.4 Severability.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
